These terms and conditions (“Terms”) govern your use of our website, services, and any other related materials provided by Edu Ascend Academy (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. Please read them carefully.

1. Acceptance of Terms By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any additional terms and conditions and policies referenced herein. If you do not agree with any part of these Terms, you must not access or use our Services.
2. Use of Services a. Eligibility: You must be at least 18 years old or the legal age of majority in your jurisdiction to purchase our Services.

b. User Accounts: Some features of our Services may require you to create a user account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or suspected breach of security.

c. Prohibited Activities: You agree not to engage in any activities that are unlawful, violate these Terms, or interfere with the proper functioning of our Services. This includes, but is not limited to, the following:

i. Using our Services for any unauthorized or illegal purpose. ii. Uploading, transmitting, or distributing any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable. iii. Attempting to gain unauthorized access to our systems or networks. iv. Impersonating any person or entity or falsely representing your affiliation with any person or entity. v. Collecting or storing personal information about other users without their consent. vi. Engaging in any conduct that could damage, disable, or impair the functionality or security of our Services.

3. Intellectual Property a. Ownership: All intellectual property rights in our Services, including but not limited to copyrights, trademarks, and trade secrets, are owned by Edu Ascend Academy or our licensors. You acknowledge and agree that you do not acquire any ownership or other rights in our Services except for the limited license granted to you under these Terms.

b. Limited License: Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to access and use our Services for personal, non-commercial purposes. You may not modify, reproduce, distribute, or create derivative works based on our Services without our prior written consent.

4. Disclaimer of Warranties a. Our Services are provided on an “as is” and “as available” basis. We make no warranties or representations, express or implied, regarding the accuracy, completeness, reliability, or suitability of our Services for any purpose.

5. Limitation of Liability a. To the maximum extent permitted by applicable law, Edu Ascend Academy and its affiliates, directors, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of or in connection with these Terms or your use of our Services.

b. In no event shall our total aggregate liability for all claims arising under these Terms exceed the amount paid by you, if any, for accessing or using our Services.

6. Indemnification You agree to indemnify, defend, and hold harmless Edu Ascend Academy, its affiliates, directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys’ fees, arising out of or in connection with your use of our Services, violation of these Terms, or infringement of any intellectual property or other rights of any person or entity.
7. Curriculum and Graduation Fee a. Curriculum Provider: Edu Ascend Academy utilizes curriculum provided by Acellus. We work in partnership with Acellus to deliver educational content and materials to our students.

b. Graduation Fee: At the time of graduation, parents are responsible for a $100 graduation fee, as required by Acellus. This fee covers administrative costs associated with the graduation process and is separate from the monthly tuition.

c. Progress Reports and Report Cards: Edu Ascend Academy sends parents regular progress reports and report cards as they are provided by Acellus. These reports provide updates on the student’s academic performance and progress.

d. Academic Liaison: Edu Ascend Academy acts as a liaison between parents and Acellus regarding all academic matters. We facilitate communication, address inquiries, and provide guidance and support in navigating the educational curriculum. Edu Ascend Academy, LLC mentors students through their online K-12 journey by providing check-ins, progress reports, and college and career planning. Edu Ascend Academy employees/contractors do not teach students. All teaching is completed through Acellus and student parents.

8. Professional Services and Monthly Tuition a. Professional Services: In addition to the curriculum provided by Acellus, Edu Ascend Academy offers professional services such as career and college planning, as well as mentorship. These services aim to provide comprehensive support and guidance to students in their educational journey.

b. Monthly Tuition: The monthly tuition rate includes access to the curriculum provided by Acellus, as well as the professional services mentioned above. The tuition amount covers the ongoing educational support and resources provided by Edu Ascend Academy.

9. Modifications to Terms and Services We reserve the right, at our sole discretion, to modify or replace these Terms at any time without prior notice. It is your responsibility to review these Terms periodically for any changes. Your continued use of our Services after any modifications to these Terms constitutes your acceptance of the modified Terms.
10. Governing Law and Jurisdiction These Terms shall be governed by and construed in accordance with the laws of Brevard County Florida. Any legal action or proceeding arising out of or in connection with these Terms shall be brought exclusively in the courts of Brevard County Florida.
11. Pricing Information; Availability Disclaimer
12. All pricing is subject to change. Edu Ascend Academy reserves the right to make adjustments to the price of tuition, equipment, and course offerings for reasons including, but not limited to, changing market conditions, course discontinuation, course unavailability, and errors in advertisements. All registrations are subject to course availability. Therefore, Edu Ascend Academy cannot guarantee that it will be able to fulfill Parent’s orders.
13. Orders; Payment Terms; Interest; Taxes
14. All student enrollment submissions and orders are not binding upon Edu Ascend Academy until accepted by Edu Ascend Academy. Terms of payment are within Edu Ascend’s sole discretion. In the event of a payment default, Parent will be responsible for all of Edu Ascend’s costs of collection, including court costs, filing fees and attorney’s fees. Parent is responsible for, and will indemnify and hold Edu Ascend harmless from, any applicable sales, use or other taxes or federal, state or local fees or assessments associated with the order.
15. Cancellation of Services
16. You may cancel a subscription at any time by logging into the online payment account you specified when setting up your subscription. Upon cancellation, any scheduled payment transactions will be canceled. Payments made prior to the time of cancellation are non-refundable.

Responsibilities of Parent/Guardian
The Parent and student must adhere to all school policies as documented on the school’s website, handbooks, and guide materials.

The Parent alone is responsible to know and understand all applicable local and state laws and requirements regarding homeschooling. The Parent also assumes full responsibility for selecting the courses of study needed to meet any applicable homeschool graduation requirements for his or her state.

The Parent has the primary responsibility for the education of the student and is expected to guide, teach, and motivate him or her through each assigned course. The Parent must ensure that the student alone completes the assigned course work, and that assessments and exams are completed without the help of other individuals, websites, books, notes or other aids. Assignments and exams must be submitted on a regular and timely basis.

All applicable tuition payments must be made prior to accessing the curriculum and thereafter as scheduled by Edu Ascend Academy. Failure to remit any due balances may result in suspension from the program.

Edu Ascend Academy reserves the right to cancel enrollment at any time for any reason.

Record Keeping and Transfer of Student Records
Edu Ascend Academy maintains records regarding student grades, attendance, enrollment status, and other records of educational importance. It is the policy of Edu Ascend Academy that student records will be maintained confidential, and that written permission must generally be provided by the parent or by a qualified student in order to release any information from a student’s educational record. However, it is understood, and parent agrees that Acellus Academy is allowed to disclose those records, without consent, to the following parties or under the following conditions:

• School officials with legitimate educational interests;
• Other schools to which a student is transferring;
• Specified officials for audit or evaluation purposes;
• Appropriate parties in connection with financial aid to a student;
• Organizations conducting certain studies for or on behalf of the school;
• Accrediting organizations;
• To comply with a judicial order or lawfully issued subpoena;
• Appropriate officials in cases of health and safety emergencies; and
• State and local authorities, within a juvenile justice system, pursuant to specific State law.

Nondiscrimination Policy
Edu Ascend Academy does not discriminate in student admission, employment opportunities or practices on the basis of race, sexual orientation, ethnicity, gender, religion, disability, or any other characteristic protected by law.

Time Limitation for Bringing Claims
YOU AGREE THAT REGARDLESS OF ANY STATUTE OR LAW TO THE CONTRARY, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE COURSE(S), OR ANY PART THEREOF, OR THESE TERMS AND CONDITIONS OF ENROLLMENT MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE OR BE FOREVER BARRED.

Important Information About These Terms and Conditions of Enrollment
These terms and conditions constitute a binding contract between Parent and Edu Ascend Academy. Parent accepts these terms and conditions by registering on the Edu Ascend Website (the “Site”). These terms and conditions are subject to change without prior notice, except that the terms and conditions posted on the Site at the time Parent initially places an order to register for a course will govern the order in question.

These terms and conditions constitute the entire agreement between Parent, Acellus, and Edu Ascend Academy relating to the terms and conditions of courses on the Site. Parent consents to receiving electronic records and communications, which may be provided via a Web browser or e-mail application connected to the Internet. Individual consumers may withdraw consent to receiving electronic records or have the record provided in non-electronic form by contacting Edu Ascend Academy through the contact protal on the site. Acellus and Edu Ascend Academy reserve the right to terminate your access to the Acellus system if you decline or withdraw consent to receive electronic communications from us.
